2. These Terms do not govern our services

EDERA Lab provides marketing and communications services to businesses. These Terms do not form the contract for any services we provide. Where we provide services to a client, those services are governed exclusively by the separate written agreement between us and that client (typically a statement of work, service agreement, or master services agreement).

Nothing on the Website constitutes an offer to provide services on any particular terms. Information about our services is provided for general guidance only.

3. Who can use the Website

The Website is intended for use by businesses and by individuals acting on behalf of a business (for example, in the course of their employment, trade, or profession). It is not intended for use by consumers, and our services are not offered to consumers.

By using the Website, you confirm that you are accessing it in the course of business and not as a consumer. If you are using the Website on behalf of an organisation, you confirm that you have the authority to do so.

You must be at least 18 years old to use the Website.

4. Acceptable use

You may use the Website only for lawful purposes. You agree not to:

  • use the Website in any way that breaches any applicable law or regulation, including the Computer Misuse Act 1990;

  • transmit, or arrange for the sending of, any unsolicited or unauthorised advertising or promotional material (or any similar material) to or through the Website;

  • knowingly transmit any data, send or upload any material that contains viruses, trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code;

  • attempt to gain unauthorised access to the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website;

  • attack the Website via a denial-of-service attack or a distributed denial-of-service attack;

  • use the Website, or any content on it, to compete with us or for any commercial purpose other than evaluating our services as a prospective client;

  • frame, scrape, mirror, or systematically extract material from the Website without our prior written consent;

  • use any automated system, including "robots", "spiders", "scrapers", or other similar tools, to access the Website or collect information from it without our prior written consent; or

A breach of this clause may amount to a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and cooperate with them by disclosing your identity. In the event of such a breach, your right to use the Website will cease immediately.

5. Intellectual property

The Website and all of its content, including text, graphics, logos, images, photographs, audio, video, software, design, layout, and the selection and arrangement of the above (together, the "Content"), are owned by EDERA Lab or our licensors and are protected by copyright, trade mark, and other intellectual property laws.

The trading name "EDERA Lab" and our logos are trade marks used by us. You must not use them without our prior written consent.

You may:

  • view the Content on screen using a web browser;

  • print or download extracts of the Content for your own personal, non-commercial use, or for the internal business purposes of evaluating whether to engage our services; and

  • share links to pages on the Website on social media or in business communications, provided you do so accurately and do not suggest any endorsement by us that does not exist.

You must not:

  • use any part of the Content for commercial purposes without obtaining a licence from us;

  • modify the paper or digital copies of any Content you have printed or downloaded; or

  • use any illustrations, photographs, video or audio sequences, or any graphics separately from any accompanying text.

If you believe that any Content on the Website infringes your rights, please contact us at hello@ederalab.com.

6. Information on the Website

The Content on the Website is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the Content.

Although we make reasonable efforts to update the information on the Website, we make no representations, warranties, or guarantees, whether express or implied, that the Content is accurate, complete, or up to date.

References on the Website to our services, case studies, or client work are illustrative only and do not constitute an offer to provide those services on any particular terms.

7. Case studies and client references

Where we feature client logos, testimonials, or case studies on the Website, we do so with the relevant client's permission. These are intended to give an indication of our experience and capabilities and are not promises of any particular outcome.

If you are a former client and wish a case study or logo featuring your organisation to be removed, please contact us at hello@ederalab.com and we will action your request promptly.

8. Submissions through the Website

If you submit information to us through the Website, for example, through the contact form or a gated content form, you confirm that:

  • the information you provide is accurate and complete;

  • you have the authority to provide it (for example, where you provide a business email address belonging to your employer); and

  • your submission does not infringe any third party's rights or breach any applicable law.

How we handle personal data you submit is described in our Privacy Policy.

9. Links to other websites

The Website may contain links to other websites operated by third parties. These links are provided for your convenience only and do not signify that we endorse those websites or their content.

We have no control over the content of those websites and accept no responsibility for them or for any loss or damage that may arise from your use of them. Your use of any third-party website is subject to the terms and conditions of that website.

10. Linking to the Website

You may link to our home page provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part where none exists.

You must not frame the Website on any other website, and you must not establish a link to the Website from any website that is not owned by you or that contains content that is unlawful, offensive, or otherwise inappropriate.

We reserve the right to withdraw linking permission without notice.

11. Availability of the Website

We do not guarantee that the Website, or any content on it, will always be available or be uninterrupted. Access to the Website is permitted on a temporary basis. We may suspend, withdraw, discontinue, or change all or any part of the Website without notice.

We will not be liable to you if, for any reason, the Website is unavailable at any time or for any period.

You are responsible for making all arrangements necessary for you to have access to the Website, and for ensuring that all persons who access the Website through your internet connection are aware of these Terms and comply with them.

12. Our liability

Nothing in these Terms limits or excludes our liability for:

  • death or personal injury caused by our negligence;

  • fraud or fraudulent misrepresentation; or

  • any other liability that cannot be limited or excluded by applicable law.

Subject to the paragraph above, and given that the Website is provided to you free of charge for informational and lead-generation purposes only:

  • we exclude all conditions, warranties, representations, or other terms that may apply to the Website or any Content on it, whether express or implied;

  • we will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with your use of, or inability to use, the Website or your use of or reliance on any Content displayed on the Website; and

  • in particular, we will not be liable for: loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill, or reputation; or any indirect or consequential loss or damage.

This clause does not affect our liability under any separate contract for services entered into between us and a client, which is governed by the terms of that contract.

13. Viruses and security

We do not guarantee that the Website will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes, and platform to access the Website, and you should use your own virus protection software.

You must not misuse the Website by knowingly introducing viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.

14. Changes to these Terms

We may revise these Terms at any time by amending this page. We expect to make changes from time to time and you should check this page periodically to take notice of any changes, as they are binding on you.

When we make material changes, we will update the "Last updated" date at the top of these Terms.

15. Governing law and jurisdiction

These Terms, their subject matter, and their formation are governed by the laws of England and Wales.

You and we both agree that the courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or your use of the Website (including non-contractual disputes or claims).
